Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Doorpass, Inc. ("Doorpass," "we," "us," or "our"). By accessing or using the Doorpass website (doorpass.ai), smart lock platform, SMS services, or any related services (collectively, the "Services"), you agree to be bound by these Terms.

If you are using the Services on behalf of a brokerage, company, or other organization, you represent that you have authority to bind that organization to these Terms.

Eligibility

You must be at least 18 years old to use the Services. By using Doorpass, you represent that you meet this age requirement. Certain features, such as managing property listings and smart lock access, may require a valid real estate license or brokerage affiliation.

Description of Service

Doorpass provides a smart lock platform designed for real estate property showings. The Services include:

• • Smart lock access management: Digital lock installation and access control for property showings, replacing traditional lockboxes.
• • Showing scheduling: Tools for agents and buyers to schedule, confirm, and manage property showing appointments.
• • SMS communication: AI-powered text messaging for property inquiries and showing coordination via property-specific phone numbers.
• • Brokerage management tools: Administrative dashboards for brokerages to oversee agent activity, property access, and showing analytics.

User Accounts & Responsibilities

When you create an account, you agree to:

• • Provide accurate, current, and complete information during registration and keep it updated.
• • Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized access.
• • Accept responsibility for all activity that occurs under your account.
• • Use the Services only for lawful purposes and in accordance with these Terms.

Acceptable Use

You agree not to:

• • Use the Services for any unlawful purpose or in violation of any applicable local, state, or federal law.
• • Attempt to gain unauthorized access to smart locks, other users' accounts, or any Doorpass systems.
• • Share access credentials or smart lock codes with unauthorized individuals.
• • Interfere with or disrupt the operation of the Services or the servers and networks that host them.
• • Use automated systems, bots, or scrapers to access the Services without prior written consent.
• • Send unsolicited messages or spam through Doorpass SMS channels.

Intellectual Property

The Services, including all software, designs, text, graphics, logos, and other content, are owned by Doorpass or its licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose. You may not copy, modify, distribute, sell, or create derivative works based on any part of the Services without our prior written consent.

SMS Communications

Doorpass uses SMS messaging to facilitate property inquiries and showing coordination. By initiating a text conversation with a Doorpass property number, you consent to receive SMS replies related to that property. Message and data rates may apply. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Doorpass does not warrant that the Services will be uninterrupted, error-free, or completely secure. While we implement reasonable security measures for our smart lock systems, we do not guarantee that unauthorized access to properties will never occur.

Doorpass is a technology platform and does not provide real estate brokerage, agency, or advisory services. We are not responsible for the conduct of any agent, buyer, seller, or other user of the platform.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOORPASS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNTS YOU HAVE PAID TO DOORPASS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless Doorpass and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Jefferson County, Kentucky, and you consent to the personal jurisdiction of such courts.

Dispute Resolution

Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at support@doorpass.ai. We will attempt to resolve the dispute through good-faith negotiation within thirty (30) days. If the dispute cannot be resolved informally, either party may pursue legal remedies as described in the Governing Law section above.

Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may stop using the Services at any time.

Upon termination, your right to use the Services will cease immediately. Provisions of these Terms that by their nature should survive termination will survive, including ownership, disclaimers, indemnification, and limitations of liability.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the bottom of this page and, where appropriate, provide additional notice. Your continued use of the Services after any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Services.
